1. Agreement to these terms
By accessing or using AgreeWell, you agree to these Terms of Service (“Terms”). If you do not agree, do not use the platform. If you use AgreeWell on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. About AgreeWell
AgreeWell provides software tools to help individuals organize separation-related information, including financial disclosure, shared expenses, records, interim arrangements, and agreement drafts.
AgreeWell is not a law firm and does not provide legal advice. Nothing on the platform creates a solicitor-client relationship. The platform does not evaluate the legal adequacy, enforceability, or fairness of any agreement. You are responsible for obtaining independent legal advice before relying on or signing any document prepared using the platform.
3. Eligibility
You must be at least 18 years old and capable of entering into a binding contract to use AgreeWell. You agree to provide accurate registration information and keep your account details current.
4. Accounts and security
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly at support@agreewell.ca if you suspect unauthorized access.
We may suspend or terminate accounts that violate these Terms, pose a security risk, or are used unlawfully.
5. Subscriptions and payments
Certain features require a paid subscription. Prices, billing intervals, and included features are shown at the time of purchase. Subscriptions renew automatically unless cancelled through your account billing settings or the payment provider portal before the renewal date.
Payments are processed by third-party payment providers. By subscribing, you authorize us and our payment provider to charge applicable fees and taxes. Except where required by law, fees are non-refundable once a billing period has begun.
6. Acceptable use
You agree not to:
- Use the platform for unlawful, fraudulent, or abusive purposes.
- Upload malware or attempt to interfere with platform security or performance.
- Access another user’s account or data without authorization.
- Reverse engineer, scrape, or copy the platform except as permitted by law.
- Misrepresent your identity or relationship to another party in a case.
- Use the platform to harass, threaten, or harm another person.
7. Your content and case data
You retain ownership of the information, documents, and other content you upload or create in AgreeWell (“User Content”). You grant AgreeWell a limited license to host, process, display, and transmit User Content solely to operate and improve the platform and provide the features you choose to use.
You are responsible for ensuring you have the right to upload and share User Content, including documents relating to third parties or children where applicable. When you invite another person to a case or share records, you control what becomes visible to them.
8. AI-assisted features
AgreeWell may offer optional AI-assisted features, such as document extraction, summaries, explanations, or draft suggestions. AI outputs may be incomplete, inaccurate, or unsuitable for your situation. AI-generated content is provided for convenience only and does not constitute legal advice. You must review, edit, and validate all outputs before relying on them.
9. Privacy
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
10. Intellectual property
AgreeWell and its licensors own the platform, software, branding, templates, and documentation, excluding User Content. We grant you a limited, non-exclusive, non-transferable license to use the platform for your personal case-management purposes in accordance with these Terms.
11. Third-party services
The platform may integrate with third-party services such as payment processors or analytics providers. Your use of those services may be subject to separate terms and policies. AgreeWell is not responsible for third-party services outside our reasonable control.
12. Disclaimers
THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGREEWELL DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
We do not warrant that the platform will be uninterrupted, error-free, or that any agreement draft, calculation, export, or AI output will meet legal requirements in your jurisdiction.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGREEWELL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGREEWELL’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO AGREEWELL IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) CAD $100.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
14. Indemnity
You agree to defend, indemnify, and hold harmless AgreeWell from claims, damages, losses, and expenses arising out of your use of the platform, your User Content, your violation of these Terms, or your violation of any rights of another person.
15. Termination
You may stop using AgreeWell at any time. We may suspend or terminate access if you breach these Terms or if continued access poses risk to the platform or other users. Upon termination, your right to use the platform ends, but sections that by their nature should survive will continue to apply.
16. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction of the courts located in Ontario, Canada for disputes arising out of or relating to these Terms or the platform, except where applicable law requires otherwise.
17. Changes to these terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. Continued use of the platform after changes become effective constitutes acceptance of the updated Terms.
